These Terms apply to the Beecoding client portal (the "Portal"), provided by Beecoding ("we", "us", "our"), based in Gamprin, Liechtenstein.
1. About These Terms
1.1 The Portal is where Beecoding and its clients work together on projects: tasks, chat, files, time and budgets.
1.2 By signing in to or using the Portal, you agree to these Terms. If you use it for a company, you confirm that you may accept these Terms on its behalf.
1.3 Our services themselves, including their scope, fees, deliverables and who owns the work, are covered by our agreement with your company, such as a proposal or project agreement. If that agreement and these Terms conflict, the agreement applies.
2. Accounts
2.1 Access is by invitation, and each person's role decides what they can see and do in the Portal.
2.2 Keep your password to yourself and don't share your account. You're responsible for what happens under your account.
2.3 If you think someone else has used your account, tell us straight away at hello@beecoding.com.
2.4 We may suspend or remove access to protect the Portal or its users, if these Terms are broken, or when our work with your company ends.
3. Your Content
3.1 You and your company keep all rights to what you add to the Portal, such as messages, comments, tasks and files ("Your Content").
3.2 You allow us to store, copy, show and process Your Content as needed to run the Portal and provide our services, including showing it to the people who have access to the same projects and chats.
3.3 Only add content you're allowed to share, and nothing unlawful or that infringes someone else's rights. Don't store passwords, payment card details or sensitive personal data, such as health data, in the Portal unless we've agreed it's needed.
3.4 Anyone with a shared link can open it without signing in. Share links only with people who should see the content, and turn them off when they're no longer needed.
4. Acceptable Use
4.1 You must not:
- (a) use the Portal for anything unlawful, harmful or fraudulent;
- (b) try to access accounts, companies or data you haven't been given access to;
- (c) probe, test or get around the Portal's security, or disrupt how it works;
- (d) upload viruses or other harmful code;
- (e) copy, scrape, resell or reverse engineer the Portal, except where the law allows it; or
- (f) harass or abuse anyone.
5. The Portal
5.1 The Portal, its software and design, and the Beecoding name and logo belong to us or our licensors. These Terms only give you the right to use the Portal.
5.2 If you send us ideas or feedback about the Portal, we may use them freely.
5.3 We keep improving the Portal and may add, change or remove features.
5.4 We aim to keep the Portal available and secure, but we can't promise it will always be available or free of errors. We may pause it for maintenance.
5.5 We back up the Portal regularly, but please keep your own copies of important files. Deleted items stay in the trash for 30 days, then they're deleted permanently.
6. Time and Budgets
6.1 Time entries, budgets and other figures in the Portal help you follow your projects. For billing, our agreement and invoices apply. If a figure looks wrong, tell us and we'll check it.
7. Confidentiality
7.1 We keep Your Content confidential and use it only to provide our services, unless you agree otherwise or the law requires us to disclose it. Please treat what you see in the Portal about our work, and about other people, the same way.
8. Privacy
8.1 Our Privacy Policy explains how we handle personal data in the Portal, and our Cookie Policy explains the cookies it uses.
9. Liability
9.1 To the extent the law allows, the Portal is provided as it is, without warranties beyond these Terms and our agreement with your company.
9.2 We're not liable for indirect or consequential loss, such as lost profits or lost business, or for lost data you could have protected by keeping your own copies.
9.3 Our total liability for claims about the Portal is limited to the fees your company paid us in the 12 months before the claim.
9.4 Nothing in these Terms limits liability for intent or gross negligence, for personal injury, or any other liability that can't be limited by law.
10. Ending Access
10.1 Your access ends when our work with your company ends, when you're removed from the Portal, or if we suspend it under clause 2.4.
10.2 After that, we delete Portal data as described in our Privacy Policy, unless the law requires us to keep it. If you need a copy of your files, ask us before your access ends.
11. Changes to These Terms
11.1 We may update these Terms. The date at the top shows the current version. We'll tell you in the Portal or by email before a significant change applies. If you keep using the Portal after that, the updated Terms apply.
12. Governing Law and Courts
12.1 These Terms are governed by the laws of the Principality of Liechtenstein.
12.2 The competent courts of the Principality of Liechtenstein decide any dispute about these Terms or the Portal. If you're a consumer, you keep any protection the mandatory law of your country gives you.
